These Terms of Service (“Terms”) govern your access to and use of the websites, web application, software, APIs, public recording pages, embedded experiences, and related services provided by AskReplay LLC (“AskReplay,” “Company,” “we,” “us,” or “our”) (collectively, the “Service”).
By creating an account, purchasing a subscription, accessing the Service, or viewing a published recording, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. Definitions
- Customer means the entity or individual that creates an account, purchases access, or administers use of the Service.
- Authorized Users means employees, contractors, or other individuals a Customer authorizes to use the Service under its account.
- Viewers means individuals who view or interact with a published recording or embedded experience without logging into an account.
- Customer Content means any content, data, video files or links, knowledge sources, documents, text, titles, prompts, branding, instructions, and other materials submitted, uploaded, linked, or configured through the Service by a Customer or its Authorized Users.
- AI Outputs means responses, summaries, citations, or other content generated automatically by the Service’s AI features.
2. The Service and Our Role
AskReplay is a technology platform that turns recorded videos into interactive, AI-assisted Q&A experiences grounded in content the Customer approves, and that may include knowledge ingestion, public links, embeds, lead/follow-up capture, and analytics. Unless we expressly state otherwise in writing:
- we do not create, verify, endorse, or guarantee Customer Content or third-party content;
- we do not control external platforms where content may be hosted; and
- we are not responsible for the availability, accuracy, legality, or quality of Customer or third-party content.
3. Eligibility and Account Responsibilities
You must be at least 18 years old and able to enter into a binding contract to use the Service. You are responsible for:
- maintaining the confidentiality of login credentials;
- all activity that occurs under your account;
- ensuring your Authorized Users comply with these Terms; and
- promptly notifying us of any unauthorized access or security incident involving your account.
4. Subscriptions, Free Trials, Billing, and Taxes
- Subscription fees, billing frequency, and plan features are those described at the time of purchase.
- Free trials, if offered, convert to a paid subscription at the end of the trial unless you cancel before the trial ends. We may require valid payment details to start a trial.
- Paid subscriptions renew automatically for successive periods until cancelled. You may cancel renewal at any time; cancellation takes effect at the end of the current billing period.
- Except where required by law or expressly stated by us in writing, fees are non-refundable and payments are not prorated, including for partial periods or unused capacity.
- You are responsible for applicable taxes, duties, and similar governmental assessments (excluding taxes on our net income).
- We may change fees or plan features on notice; changes apply to the next renewal unless stated otherwise.
5. Plan Limits and Fair Use
Your plan may include limits such as the number of published recordings and monthly Viewer sessions, as described for your plan. We may apply rate limits and other technical safeguards to protect the Service. If your usage materially exceeds your plan or these safeguards, we may throttle usage, require an upgrade, or work with you on a custom plan.
6. Customer Content
6.1 Ownership
You retain all ownership of Customer Content. These Terms do not transfer ownership of Customer Content to us.
6.2 License to Operate the Service
You grant AskReplay a limited, worldwide, non-exclusive, royalty-free license to host, store, process, index, reproduce, display, transmit, and create technical derivatives of Customer Content (such as text extractions and embeddings) solely to:
- provide, maintain, secure, and improve the Service;
- generate AI Outputs requested by you or your Viewers;
- prevent abuse and enforce these Terms; and
- comply with legal obligations.
6.3 Your Warranties
You represent and warrant that:
- you own or have all rights and permissions necessary for the Customer Content and its use in the Service;
- Customer Content does not infringe intellectual property, privacy, or publicity rights;
- Customer Content and your use of the Service comply with all applicable laws; and
- you will not submit sensitive personal information (such as health, financial, or government-ID data) unless you have a lawful basis and appropriate permissions, and you understand such content may be processed by AI providers.
7. Acceptable Use and Prohibited Conduct
You agree not to, and not to allow your Authorized Users, Viewers, or others to:
- violate any law, regulation, or court order;
- upload, link, or distribute content without the necessary rights or permissions;
- infringe intellectual property, privacy, or publicity rights;
- submit malware or exploit code, or attempt unauthorized access to the Service or its data;
- interfere with or disrupt the Service, including its rate limiting or security controls;
- reverse engineer, decompile, or attempt to extract source code or underlying models, except as permitted by law;
- scrape, harvest, or bulk-extract data from the Service without permission;
- use the Service to generate or distribute deceptive, fraudulent, harassing, hateful, or otherwise harmful content; or
- use the Service to build or train a competing product or model.
We may investigate and may suspend or terminate access if we reasonably believe a violation has occurred.
8. Third-Party Content and Services
The Service may display, embed, or link to content and services hosted by third parties (for example, video platforms). We do not control and are not responsible for third-party services, including their availability, removal of content, changes to embed functionality, or their terms, policies, or fees. Your use of third-party services is governed by those providers’ terms.
9. AI Features and Important Disclaimers
The Service includes AI features that generate AI Outputs. AI Outputs are designed to draw from the Customer’s approved content, but you acknowledge and agree:
- AI Outputs are generated automatically and may be inaccurate, incomplete, outdated, or inappropriate;
- AI Outputs may contain errors or “hallucinations,” and grounding does not guarantee accuracy;
- AI Outputs are provided for informational purposes only; and
- you are solely responsible for reviewing and verifying AI Outputs before relying on or acting on them.
No Professional Advice. The Service and AI Outputs do not provide legal, medical, financial, tax, compliance, HR, or other professional advice. Consult qualified professionals for such matters.
Your Responsibility. You are responsible for the content you approve, the answers your recordings produce, and decisions or outcomes based on use of the Service or AI Outputs.
10. Publishing, Public Pages, and Embeds
You control whether and how to publish a recording, including public links and embeds. You are responsible for what you publish and for providing any notices to, and obtaining any consents from, your Viewers (including for lead/follow-up capture). When you enable lead capture, you are the controller of the Viewer information collected, and you will handle it in compliance with applicable law and your own privacy notices.
11. Privacy and Data Processing
Our Privacy Policy explains how we collect, use, and share information. Where we process personal information on your behalf as a processor/service provider, that processing is governed by these Terms and, where applicable, a Data Processing Addendum (DPA). By using the Service, you acknowledge the Privacy Policy.
12. Confidentiality
If we receive non-public information from you that is marked or reasonably understood to be confidential, we will use reasonable care to protect it and use it only to provide the Service. This does not apply to information that is or becomes public, was already known, is independently developed, or is rightfully obtained from another source. Enterprise confidentiality agreements and DPAs are handled separately.
13. Intellectual Property
We own and retain all rights to the Service, including its software, models, design, and trademarks, excluding Customer Content. We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription, subject to these Terms.
You may not use our name or logos without written permission, except to identify the Service as an embedded experience or where we provide a branding/attribution setting.
14. Feedback
If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them without restriction or compensation.
15. Suspension, Termination, and Data
We may suspend or terminate your access:
- for a violation of these Terms;
- for suspected fraud, abuse, or security risk;
- for nonpayment; or
- to comply with law.
You may stop using the Service and cancel at any time. Upon termination, your right to access the Service ends. For a limited period after termination, you may request export of your Customer Content where the Service provides such functionality; afterward, we may delete or de-identify your Customer Content in the ordinary course, subject to our Privacy Policy and legal obligations. Sections that by their nature should survive termination will survive.
16. Disclaimers
THE SERVICE AND ALL AI OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASKREPLAY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUTS OR CONTENT WILL BE ACCURATE OR AVAILABLE.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- ASKREPLAY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY; AND
- ASKREPLAY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO ASKREPLAY IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
18. Indemnification
You agree to defend, indemnify, and hold harmless AskReplay LLC and its owners, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from or related to:
- your Customer Content;
- your use of the Service or anything published through your account;
- your violation of these Terms; or
- your violation of any law or any third party’s rights, including intellectual property and privacy rights.
19. Changes to the Service and Beta Features
We may modify, add, or discontinue features of the Service over time. We may offer features identified as beta, preview, or experimental, which are provided “as is,” may change or be removed, and may be excluded from certain commitments.
20. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a new “Last Updated” date and, for material changes, may provide additional notice. Your continued use of the Service after changes take effect means you accept the updated Terms.
21. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Missouri, excluding its conflict-of-laws rules. The parties will first try to resolve any dispute informally. Any dispute that is not resolved will be brought exclusively in the state or federal courts located in St. Charles County, Missouri, and you consent to personal jurisdiction and venue there. Each party waives any right to a jury trial to the extent permitted by law.
22. General
- Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede prior agreements on the subject.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Severability and Waiver. If any provision is unenforceable, the rest remains in effect, and our failure to enforce a provision is not a waiver.
- Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Export and Sanctions. You will comply with applicable export control and sanctions laws and will not use the Service where prohibited.
- Notices. We may provide notices by email or through the Service.
